These Terms of Service ("Terms") govern your access to and use of the DMGBot website, dashboard, APIs, and services (collectively, the "Service"). By using the Service, you agree to these Terms.

1. Account & Eligibility

• You must be at least the age of majority in your jurisdiction to create an account.
• Provide accurate registration information and keep your credentials secure. You are responsible for activities under your account.

2. Subscription & Billing

• Paid plans are billed in advance on a recurring basis (monthly or yearly) and are non‑refundable except as required by law.
• Taxes (e.g., GST/VAT) may apply. Pricing and features may change with notice.
• Trial plans may have usage limits and can be modified or terminated at any time.

3. Acceptable Use

• Do not use the Service to violate laws, infringe IP, distribute malware, spam, or engage in harmful/abusive content.
• You are responsible for end‑user disclosures and consents required by applicable laws (e.g., DPDPA, GDPR, CAN‑SPAM/NDNC/DLT for messaging in India).
• Do not attempt to reverse engineer, circumvent security, or misuse APIs.

4. Customer Content & Data

• You own your content and grant DMGBot a limited license to host, process, and transmit it to provide the Service.
• You represent that you have rights to the content and that it does not violate laws or third‑party rights.
• Data processing is governed by our Privacy Policy and any applicable Data Processing Addendum (DPA).

5. Intellectual Property

• The Service, software, and branding are owned by DMGBot and its licensors. No rights are granted except as expressly set out in these Terms.
• Feedback may be used to improve the Service without obligation.

6. Third‑Party Services

Integrations with third‑party platforms are provided for convenience. Their terms and privacy policies govern their services. DMGBot is not responsible for third‑party services.

7. Availability & Support

We aim for high availability but do not guarantee uninterrupted Service. Planned maintenance and incidents may occur. Support is provided as described on our site or your Order Form.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, non‑infringement, or accuracy. AI outputs may be incorrect—review before relying on them.

9. Limitation of Liability

To the maximum extent permitted by law, DMGBot will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability for any claim is limited to the amounts paid by you to DMGBot in the 12 months preceding the event giving rise to the claim.

10. Indemnity

You agree to indemnify and hold harmless DMGBot and its affiliates, officers, and employees from claims arising out of your use of the Service, your content, or violation of these Terms.

11. Term & Termination

• You may stop using the Service at any time. Accounts may be terminated for breach or misuse.
• Upon termination, your right to use the Service ceases. We may retain and/or delete data per our retention policy and legal requirements.

12. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes will be notified via email or in‑app notice. Continued use after changes means acceptance.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of {{GOVERNING_JURISDICTION}}, without regard to conflict of laws. Disputes will be subject to the exclusive jurisdiction of the courts located in {{COURTS_CITY}}. Consumers in other regions may have mandatory rights under local laws.

14. Export & Compliance

You represent that you are not subject to sanctions or in a restricted territory. You will comply with export control and anti‑corruption laws.

15. Communications (Email/SMS/WhatsApp)

By providing your contact details, you consent to receive essential service communications. Marketing communications require consent and offer an opt‑out. Telecom messaging is subject to applicable DLT/NDNC/CAN‑SPAM rules.

16. Miscellaneous

• Entire Agreement: These Terms, Order Forms, and policies referenced herein.
• Severability: If a provision is unenforceable, the remainder remains in effect.
• Assignment: You may not assign without our consent; we may assign to an affiliate or in connection with a merger or sale.
• Notices: Via email to your account address or via the Service.
